Please read these Terms of Service carefully before engaging in any business transaction with PUMAY Aluminum. By placing an order or initiating a business inquiry, you agree to be bound by these terms. 请在与PUMAY铝业开展任何商业交易前仔细阅读本服务条款。提交订单或发起商业询盘即表示您同意受本条款约束。
Definitions
定义
For the purposes of these Terms of Service, the following definitions apply to all agreements, quotations, purchase orders, and communications between PUMAY Aluminum and its clients.
在本服务条款中，以下定义适用于PUMAY铝业与客户之间的所有协议、报价、采购订单及通信往来。
指PUMAY铝业有限公司，位于中国广东佛山的建筑铝装饰材料工厂制造商。
指与PUMAY铝业进行采购或合作的任何企业实体、承包商、经销商、进口商或OEM合作伙伴。
PUMAY生产和供应的所有铝制建筑装饰材料，包括但不限于铝单板、幕墙板、吊顶、格栅系统及定制装饰构件。
客户发出的经确认的书面请求，注明产品规格、数量、交货要求及商定价格，并经PUMAY书面接受。
Order & Contract Formation
订单与合同成立
2.1 Quotation Validity
All quotations issued by PUMAY Aluminum are valid for 30 calendar days from the date of issuance, unless otherwise stated in writing. Quotations are subject to change based on raw material market fluctuations.
PUMAY铝业发出的所有报价自发出之日起30个日历日内有效，除非另有书面说明。报价可能因原材料市场波动而变动。
2.2 Order Confirmation
A binding contract is formed only upon PUMAY's written confirmation of the Client's purchase order, accompanied by receipt of the agreed deposit payment. Verbal agreements or informal communications do not constitute binding contracts.
仅在PUMAY书面确认客户采购订单并收到约定定金后，方构成具有约束力的合同。口头协议或非正式通信不构成具有约束力的合同。
2.3 Order Amendments
Any amendments to confirmed orders must be submitted in writing within 5 business days of order confirmation. Amendments after production commencement may incur additional charges and lead time adjustments. PUMAY reserves the right to assess feasibility of late-stage modifications.
对已确认订单的任何修改必须在订单确认后5个工作日内以书面形式提交。生产开始后的修改可能产生额外费用并调整交货期。PUMAY保留评估后期修改可行性的权利。
2.4 Order Cancellation
Cancellation of confirmed orders may result in forfeiture of the deposit and reimbursement of any incurred production costs. Cancellation requests must be submitted in writing and are subject to PUMAY's approval.
取消已确认订单可能导致定金没收及已产生生产成本的赔偿。取消申请必须以书面形式提交，并须经PUMAY批准。
Product Specifications & Customization
产品规格与定制
PUMAY Aluminum specializes in precision, drawing-based customization. All products are manufactured to client-provided specifications or PUMAY's standard product catalog. The following conditions apply to custom and standard orders.
PUMAY铝业专注于精密图纸定制生产。所有产品均按客户提供的规格或PUMAY标准产品目录制造。以下条件适用于定制和标准订单。
3.1 Drawing-Based Orders
For custom projects, the Client must provide complete and accurate technical drawings in DWG, DXF, or PDF format. PUMAY will produce a shop drawing confirmation for Client approval prior to production. Manufacturing will not commence without written drawing approval.
对于定制项目，客户必须提供DWG、DXF或PDF格式的完整准确技术图纸。PUMAY将在生产前制作施工图确认件供客户审批。未经书面图纸批准，不得开始生产。
3.2 Tolerance Standards
All products are manufactured in accordance with industry-standard tolerances. Dimensional tolerances for aluminum panels are ±1.0mm unless otherwise specified. Surface finish and color variations within acceptable coating standards (PVDF, powder coat) are not considered defects.
所有产品均按行业标准公差制造。铝板的尺寸公差为±1.0mm，除非另有规定。在可接受涂层标准（PVDF、粉末涂层）范围内的表面光洁度和颜色差异不视为缺陷。
3.3 Samples & Prototypes
Sample requests are available for standard products. Custom prototype samples may be subject to a sampling fee. Mass production will proceed only after Client's written sample approval. Approved samples serve as the production quality benchmark.
标准产品可提供样品申请。定制原型样品可能需要收取打样费。仅在客户书面批准样品后方可进行批量生产。经批准的样品作为生产质量基准。

* Payment schedules may be adjusted based on order value, project complexity, and long-term partnership agreements. / 付款计划可根据订单金额、项目复杂性和长期合作协议进行调整。
4.1 Currency & Pricing
All prices are quoted in USD (United States Dollars) unless otherwise agreed in writing. Prices are EXW Foshan factory unless otherwise specified (FOB, CIF, etc. available upon request).
除非另有书面约定，所有价格均以美元报价。价格为佛山工厂EXW价，除非另有规定（可根据要求提供FOB、CIF等）。
4.2 Accepted Payment Methods
PUMAY accepts T/T (Telegraphic Transfer / Wire Transfer), L/C (Letter of Credit at sight for orders above USD 50,000), and other methods subject to mutual agreement. Bank charges are the responsibility of the respective parties.
PUMAY接受T/T（电汇）、L/C（5万美元以上订单的即期信用证）及经双方协商的其他方式。银行费用由各自承担。
4.3 Late Payment
Overdue payments may result in production suspension, shipment hold, and interest charges of 1.5% per month on outstanding balances. PUMAY reserves the right to pursue legal remedies for unresolved payment disputes.
逾期付款可能导致暂停生产、扣押货物，并对未付余额按每月1.5%收取利息。PUMAY保留就未解决的付款争议寻求法律救济的权利。
Delivery & Lead Time
交货与交期
5.1 Lead Time Estimates
Standard production lead times range from 15 to 45 business days depending on product type, order volume, and customization complexity. Confirmed lead times are specified in the order acknowledgment. PUMAY is committed to coordinating production schedules with the Client's construction timeline.
标准生产交期为15至45个工作日，具体取决于产品类型、订单量和定制复杂程度。确认的交期在订单确认书中注明。PUMAY致力于将生产计划与客户的施工时间表协调一致。
5.2 Risk of Loss
Title and risk of loss transfer to the Client upon handover to the freight forwarder or carrier at the agreed delivery point (EXW, FOB, or as specified). PUMAY recommends cargo insurance for all international shipments.
在约定交货地点（EXW、FOB或指定条款）将货物移交给货运代理或承运人时，所有权和风险转移给客户。PUMAY建议为所有国际货物购买货运保险。
5.3 Force Majeure & Delays
PUMAY shall not be liable for delays caused by circumstances beyond reasonable control, including but not limited to natural disasters, port disruptions, government regulations, material shortages, or pandemic-related restrictions. PUMAY will notify the Client promptly of any such events and provide revised delivery estimates.
PUMAY对合理控制范围之外的情况（包括但不限于自然灾害、港口中断、政府法规、原材料短缺或疫情相关限制）造成的延误不承担责任。PUMAY将及时通知客户此类事件并提供修订后的交货估计。
Quality Standards & Inspection
质量标准与检验
6.1 Pre-Shipment Inspection
PUMAY conducts internal quality inspections prior to shipment. Clients or their appointed third-party inspectors may request pre-shipment inspection at the Foshan factory, with advance notice of at least 5 business days. Inspection costs are borne by the Client.
PUMAY在发货前进行内部质量检验。客户或其指定的第三方检验员可申请在佛山工厂进行装运前检验，须提前至少5个工作日通知。检验费用由客户承担。
6.2 Claims & Defects
Quality claims must be submitted in writing within 14 calendar days of goods receipt, accompanied by photographic evidence and a written defect report. Claims submitted after this period will not be accepted. Defects caused by improper handling, installation, or storage after delivery are excluded.
质量索赔必须在收货后14个日历日内以书面形式提交，并附上照片证据和书面缺陷报告。超过此期限提交的索赔将不予受理。交货后因操作不当、安装或储存不当造成的缺陷不在此列。
Warranty & Limitation of Liability
质保与责任限制
Standard Product Warranty / 标准产品质保
PVDF-coated exterior panels: 10 years against chalking and fading under normal outdoor conditions. Interior products: 5 years against manufacturing defects.
PVDF涂层外墙板：正常室外条件下10年防粉化和褪色保证。室内产品：5年制造缺陷保证。
7.1 Warranty Exclusions
The warranty does not cover damage resulting from: improper installation not following PUMAY's guidelines, unauthorized modifications, abnormal environmental exposure, chemical contact, mechanical damage, or failure to perform required maintenance.
质保不涵盖以下损坏：未遵循PUMAY指南的不当安装、未经授权的改装、异常环境暴露、化学品接触、机械损坏或未进行必要维护。
7.2 Limitation of Liability
PUMAY's maximum liability for any claim shall not exceed the total invoice value of the specific goods giving rise to the claim. PUMAY shall not be liable for indirect, consequential, incidental, or special damages, including lost profits or project delay costs.
PUMAY对任何索赔的最高赔偿责任不超过引起索赔的特定货物的发票总金额。PUMAY不对间接、后果性、附带或特殊损害承担责任，包括利润损失或项目延误成本。
OEM / ODM Partnership Terms
OEM/ODM合作条款
PUMAY Aluminum provides comprehensive OEM and ODM manufacturing services for overseas brand owners, distributors, and importers. The following terms govern all OEM/ODM engagements.
PUMAY铝业为海外品牌商、经销商和进口商提供全面的OEM和ODM制造服务。以下条款适用于所有OEM/ODM合作。
Custom branding, packaging, and labeling available. Client's brand identity will be applied per approved specifications.
支持定制品牌、包装和标签。客户品牌标识将按照批准的规格应用。
Minimum order quantities vary by product type. Standard MOQ starts from 500㎡ per specification. Custom profiles may require higher MOQ.
最小订购量因产品类型而异。标准起订量从每规格500㎡起。定制型材可能需要更高起订量。
All Client-provided designs, specifications, and proprietary information are treated with strict confidentiality. NDA available upon request.
客户提供的所有设计、规格和专有信息均严格保密。可根据要求签署保密协议。
Export packaging, documentation support (CO, packing list, commercial invoice), and logistics coordination available for all international OEM orders.
为所有国际OEM订单提供出口包装、单证支持（产地证、装箱单、商业发票）和物流协调。
Intellectual Property Rights
知识产权
9.1 PUMAY's IP
All product designs, manufacturing processes, technical documentation, and brand materials owned by PUMAY remain the exclusive intellectual property of PUMAY Aluminum. No license is granted to the Client to reproduce, reverse-engineer, or commercialize PUMAY's proprietary designs.
PUMAY拥有的所有产品设计、制造工艺、技术文件和品牌材料均为PUMAY铝业的专有知识产权。不授予客户复制、逆向工程或商业化PUMAY专有设计的许可。
9.2 Client's IP
Drawings, designs, and specifications provided by the Client remain the Client's intellectual property. PUMAY will use such materials solely for the purpose of fulfilling the Client's order and will not disclose or use them for any other purpose without written consent.
客户提供的图纸、设计和规格仍为客户的知识产权。PUMAY仅将此类材料用于履行客户订单，未经书面同意不得为任何其他目的披露或使用。
9.3 Infringement Indemnification
The Client warrants that any designs, drawings, or specifications provided to PUMAY do not infringe any third-party intellectual property rights. The Client shall indemnify PUMAY against any claims arising from IP infringement related to Client-provided materials.
客户保证提供给PUMAY的任何设计、图纸或规格不侵犯任何第三方知识产权。客户应就与客户提供材料相关的知识产权侵权索赔向PUMAY进行赔偿。
Confidentiality
保密条款
10.1 Mutual Confidentiality
Both parties agree to maintain strict confidentiality regarding pricing agreements, technical specifications, project details, and business terms exchanged during the course of their commercial relationship. This obligation survives termination of the business relationship for a period of 3 years.
双方同意对商业关系过程中交换的定价协议、技术规格、项目细节和商业条款严格保密。此义务在商业关系终止后继续有效3年。
10.2 Non-Disclosure Agreement
For strategic partnerships, OEM/ODM arrangements, and large-scale project collaborations, a formal Non-Disclosure Agreement (NDA) may be executed upon mutual request. PUMAY's standard NDA template is available upon inquiry.
对于战略合作、OEM/ODM安排和大型项目合作，可根据双方要求签署正式保密协议（NDA）。PUMAY的标准NDA模板可根据询问提供。
Governing Law & Dispute Resolution
适用法律与争议解决
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with these terms shall be subject to the jurisdiction of the courts of Foshan, Guangdong Province, or resolved through arbitration as mutually agreed.
本服务条款受中华人民共和国法律管辖并按其解释。因本条款引起或与之相关的任何争议应受广东省佛山市法院管辖，或经双方协商通过仲裁解决。
11.1 Amicable Resolution
Both parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute. PUMAY values long-term partnerships and is committed to fair and reasonable resolution of all commercial disputes.
双方应首先在书面通知争议后30天内通过诚信谈判解决任何争议。PUMAY重视长期合作关系，致力于公平合理地解决所有商业争议。
11.2 Language
In the event of any conflict between the English and Chinese versions of these Terms, the Chinese version shall prevail for legal interpretation purposes.
如本条款的英文版本与中文版本之间存在任何冲突，以中文版本为准进行法律解释。
